1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Jobnix ("Company", "we", "our", or "us") concerning your access to and use of the Jobnix platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

2. Description of Service

Jobnix provides a cloud-based platform for tradespeople and small businesses to:

• Create and manage quotes and invoices
• Send documents via email and SMS
• Accept online payments
• Manage customer relationships
• Integrate with accounting software (QuickBooks, Xero)

3. Account Registration

To use our services, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes.

This license does not include the right to:

• Modify, copy, or create derivative works of our software
• Reverse engineer, decompile, or disassemble our technology
• Sublicense, sell, or redistribute our services
• Use our services for any unlawful purpose
• Interfere with or disrupt our services or servers

5. Third-Party Integrations

5.1 QuickBooks Integration

Our service integrates with Intuit QuickBooks. By connecting your QuickBooks account, you:

• Authorise us to access and sync your QuickBooks data
• Agree to comply with Intuit's Terms of Service
• Acknowledge that QuickBooks features are provided "as is"
• Understand you can disconnect at any time via account settings

5.2 Xero Integration

Our service integrates with Xero. By connecting your Xero account, you:

• Authorise us to access and sync your Xero organisation data
• Agree to comply with Xero's Terms of Use
• Acknowledge that Xero features are provided "as is"
• Understand you can disconnect at any time via account settings

5.3 Payment Processing

Payments are processed by Stripe. By using payment features, you agree to Stripe's Services Agreement. We are not responsible for Stripe's services or any payment disputes.

6. Your Content and Data

You retain ownership of all content and data you submit to our platform ("Your Content"). By using our services, you grant us a limited license to use, store, and process Your Content solely to provide our services.

You are responsible for:

• The accuracy and legality of Your Content
• Obtaining necessary consents from your customers
• Complying with applicable data protection laws
• Maintaining backups of your important data

7. Acceptable Use

You agree not to:

• Use our services for fraudulent or illegal activities
• Send spam or unsolicited communications
• Upload malicious code or attempt to hack our systems
• Impersonate others or misrepresent your identity
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm others
• Attempt to gain unauthorised access to other accounts

8. Fees and Payment

Certain features require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information
• Automatic renewal unless cancelled before the renewal date
• Our right to change pricing with reasonable notice

Refunds may be provided at our discretion and in accordance with applicable laws.

9. Intellectual Property

All intellectual property rights in our services, including software, designs, trademarks, and content (excluding Your Content), belong to Jobnix or our licensors. Nothing in these Terms transfers any intellectual property rights to you.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that services will be uninterrupted or error-free
• Warranties regarding the accuracy of third-party integrations
• Warranties that our services will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBNIX SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from third-party integrations (QuickBooks, Xero, Stripe)
• Damages exceeding the fees paid by you in the preceding 12 months

12. Indemnification

You agree to indemnify and hold harmless Jobnix, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights of a third party.

13. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access if you violate these Terms.

Upon termination, your right to use our services ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
